Because they need to be discussed, and this didn't have a discussion titled "Stats" yet.

Personally, this seems a bit overpowered if it does what people are expecting it to do. But, if it were to make it through, here's what I'd suggest.
There are pencils instead of bullets being loaded into it, so a constant ammunitions resupply does seem a little far-fetched.
I'm thinking more outside the box, with maybe a very slight accuracy increase for weapons that increases over time? (Starts at 1%, increases by 1% per second in range of effects up to 25%) This would encourage Engies to get out into battle more often, even if that's not what they're meant for. With the Sniper, it wouldn't have much of an effect, maybe no flinching when firing? With Pyro, it would become a disadvantage, because it would narrow his flames. And with Demoman, his bombs would fly in a straight line instead of an arc, causing them to land much earlier. So, there IS balance at work here.
It would also obviously take the place of the Engie's dispenser building, giving the Engi wearing the item a 15% movement speed increase and 10% faster fire rate on weapons.

TL;DR:
+15% movement speed
+10% fire rate
+1% firing accuracy per second for nearby temmates up to 25%

It feels like to me it should have some ammo reload capability since it is a dispenser.

But like I said, we should be aiming for innovation - and there are pencils being loaded into it.

Maybe it can beep when you are in the proximity of a spy, but it would only beep if the spy is uncloaked. This would make disguising less useful. As a tradeoff, the engi has to give up his primary because being that well protected against spies makes your sentry nests that much more powerful.

Interesting idea, but you're a little late to the party. And being able to spycheck without trying would make this weapon OP and thus used by just about every Engineer.
