Might add symbiote suit as a sort of meter mechanic but don't know
General: Spider-Man should be a rushdown air fighter with moves that boost his aerial mobility. They should also keep him in the air and would have slow air acceleration but high jump high. Perhaps he could even have the ability to super jump by holding down and pressing jump while crouched. An original sprite would be better with his MvC pose.
Attacks
Jab:Three hit combo with the third hit launching opponents into the air.
F-Tilt: Sheik's sweep kick forward tilt that can link into itself
U-Tilt: Ranno's flipkick up tilt
D-Tilt: Ranno's sweeping down tilt
Dash Attack: Web swing which gets himself and his enemy into the air
F-Strong: Spider Cannon from MvCI
U-Strong: Shiek's Up Smash
D-Strong: Shiek's Down Smash
N-Air: Sex Kick, that can combo into follow up neutral air attacks similar to a jab combo and keeps him and the opponent into the air. Can also cancel into other aerials similar to grounded jabs
F-Air: Shiek's Forward Air
B-Air: Shiek's Back Air
U-Air: Shiek's dragdown Up Air
D-Air: Keep the divekick, but have a late hitbox that bounces off the opponents
Unique Air Strong: Web Swing
Specials
N-Special: Web Ball: fire a slow moving projectile that traps the opponent in a web cocoon for a short time. Moves Spider-Man back and up a bit from the aerial downwards version.
S-Special: Web Zip: fire a line of web that pulls Spider-Man towards the target that hits. If used on an enemy, they take minor damage and Spider-Man can follow up. The line stops after a moment in it's travel.
U-Special: Spider Sting: perform an uppercut that when hitting an opponent performs a follow up attack spikes them downwards. Not much ups on it, which leads to a back up special
Hold U-Special: Web Jump: Use your webs to gain upwards height and recover more effectively. This move is manly used for recovery and Spider-Man can be hit while traveling up, but does not go into free fall and can use Spider String after reaching max height while you are able to attack during the rise.
D-Special: Web Throw: Fire a line and grab an enemy and automatically throw them. On the ground you shoot straight and can angle up before swinging them around and throwing them back, while in the air you strictly fire downwards and spike throw the enemy downwards.

Strengths & Weaknesses
Spider-Man should be a master of controlling the air space with powerful air attacks but is mediocre on the ground. On the ground he would try to annoy his opponent just long enough before getting back into the air. Since Spider-Man's Strengths would rely so much in the air, he could run into trouble with opponents that have great tools for swatting him out of the sky. He should try to resist the temptation to jump, and instead use his above average ground speed to improve his grounded position, pick his spots well, and retake his aerial advantage.
I know this is long, but I hope it helps you with your character. I really look forward to the completed version of this character.

been really busy w school and work but I plan to get a lot done over Christmas break
I plan on finishing it but you could always make your own, it wouldn't bother me
Awesome to hear! I actually just walked out of the theater for No Way Home and I've been super anticipating the completion of this fighter (Or atleast a sprite complete version)
