Ever in that moment where you can't catch up to the person that you wanna backstab?
Make the stats

+10% movement speed when being held
but
-15% maximum health
-10% maximum cloak

I second this. Good looking stats.... but needs play testing to see if it works

This is the same mistake they made with the Big Earner, but these stats are less nice to the user. The 25% less cloak (7.5 seconds on defualt watch) makes it less appeling, and while the health is only 10% as opposed to the -25 that the Big earner has, it is still less health. Look at the Kunai; it takes half health, but over heals you to 175 (Pyro and Demo) as opposed to your defualt 125. It may give you only 60HP on spawn, but the 175 is what makes it appeling

On backstab: Gain 25% movement speed and damage reduction, and movement imparing effects invulnerability for 5 seconds.
Backstab is replaced with Throat Slit. Where you must cover someones mouth (Which completely disables movement, thought they can still move around.) by M2 when your behind someone, and finishing them with M1.
-Can only backstab when disguised.

I have no idea if this is balanced or not, but I definetly would like a spy knife that doesn't follow through with the rest. The knife itself is supposed to give you a quick escape after eliminating key targets, and eliminates the ability to chainstab,

Since this is a ninja stuff, so here's my idea/opinion. Plz don't judge, cuz it's just an opinion/idea:

Upon backstab: +15% move speed and 25% jump height for 3 seconds
+10% cloak time
-not able to disguise for 4s after backstab

in conclusion:
This set of stat simply makes you become a literal french ninja(?). You gain more speed and jump height after a backstab which allows a quick escape or maybe a chain stab cuz y not.

When I think of ninja I think swift on the feet, silent, can evade things easily but if caught the ninja can't do anything to stop it.

Pros:
Instant Cloak/ Decloak
+15% movement speed when the weapon is active (think that makes him almost as fast as the scout)
No noise what-so-ever

Cons:
+20% Fire resistance (easier for pyros to kill the spy, to balance the weapon out)
+20% Fall damage

Makes the spy match the description pretty well in my opinion of a ninja.

The cons you need to make it -20% fire resistance and I don't think giving extra fall dmg will be good if you're thinking of ninja since ninjas are pretty much agile and nimble. In my opinion, instead of +20% fall damage maybe -15% explosive damage resistance is better(?).

And I think what you meant by no noise what-so-ever is simply silent kills.
