My best attempt at what Valve may see as a good use for this watch, by doing the weapon balance thinking for them...
Okay this is pointless, half of these proposed watch functions are really out there and not even fitting this watch's general design and inspiration, plus the name, so I'm gonna settle with my fused watch properties suggestion that fits this watch entirely (even though this is up to Valve):

+Upon cloak, ability to phase shift through enemy players (not buildings) and no damage taken
+Cloak time/meter based on amount of player health
-Cloak/decloak time takes 1-2 seconds to fully turn invisible
-Cannot get health from dispensers, slowed health rate gained from Medi-gun beams
-While cloaked, whispers (similar to the Eyelander's "Heads..." sfx, except everybody can hear it around you) can be heard from those that pass by you
-While cloaked, 5 health lost per second (1 health per 0.2 second)
-When cloaking and decloaking, the player is enveloped by a faint green, illuminated glow
+/-Upon death when running out of health while cloaked, a portal (the portals from Eyeaduct's Monoculus boss) opens by the Spy, and arms (using the Voodoo Arm miscs from the 2012 Halloween) grab the Spy, bringing him into the portal.

Meh, it's trying for something different :P Don't you want to see a new spy watch? And besides, this is decent balance wise, unlike those folks in SPUF calling for insta cloak backstabs and crap...
My purpose was to emphasize the health aspect. It's like the Kunai, only the health is never restored for something a spy would find great value, respect, and extreme use for... which is pass through enemy players and enemy fire directly without detection or bodily harm. You realize that the health gained back from uncloaking is worse in terms of balance because it rewards players for simply using the weapon to cloak, plus it can be used for exploitation for self healing. The cloak meter based on health is solid given every newer knife emphasizes the frail health of the spy, this watch can help complement that. The death sequence is simply for an aesthetic touch only, it wasn't meant to be a gameplay changer. Having a Spy's corpse go invisible doesn't have any real application in the game, and the weapon dropping too. The purpose is to get in to a heavily guarded Spy-ready fortress, get that needed pick, and likely die. This watch provides an alternate method of getting in that heavily guarded area that is unlike the Dead Ringer entirely.

Let's make it simpler -

+ cloaked spies can walk through enemy players
- can't regen the cloak via ammo boxes or standing still

i have been pro "ghost watch" ever since they ran out of watch ideas. which was a long time ago. i need a watch that can negate body block. VOLVO MAKE IT HAPPEN!!!

Here's something I was thinking about, that would fit for this watch:

Able to attack while cloaked, but only with the knife
-55% cloak time
-50% recharge speed
+0.5s of visibility when shot or bumped into
-Can't get cloak from metal or dispensers

Sure you could use the L'Etranger and the Big Earner for maximum cloak time, but you'd be quite weak after that cloak ended.

How about this.
It functions as the dead ringer, but with these added:
+50% cloak time
-25% cloak regain rate
-15 health
-No picking up ammo for the cloak whatsoever

*Uses health bar instead of cloak meter. That is, 5 hp=1 second of cloak.
-As a result of the above attribute, you lose 5hp per second while cloaked.
+While cloaked, can phase through solid objects (not just players, actual objects).
-While phasing through objects, loud whispering can be heard and may alert enemies.
-While phasing through solid objects, your silhouette is visible.
-While cloaked, you cannot pick up health boxes.

Upon death: you remain invisible and nothing is listed in the enemy's kill feed.
