There's not yet info on how to create assets for CS2 or when the asset editor is going to be even released in CS2 but I guess creating assets for CS2 doesn't differ much from CS.
You'll need a 3D editing software like Blender or 3ds Max to make the asset model and a graphics editing software like Photoshop or Gimp to make the textures. Creating a detailed model is quite straightforward. The catch is that you need to find the optimum between the model complexity and resemblance, you have to keep the tris count low and texture size small.
